    Hr. Wiebes , ik probeer te begrijpen wat er is besloten. Begrijp ik goed dat de direktie voorstelt het recht te verkrijgen het aandelenkapitaal te vergroten ongetwijfeld ter compensatie van onvoldoende opbrengsten uit bedrijfsvoering. De jaarlijkse lasten ad. 36 miljoen zullen ongetwijfeld ook stijgen met het vermarkten van het ARC ex en im. Waar kijken wij naar. Dank voor een evt. toelichting.

    Het is gebruikelijk dat 'n bestuur mandaat krijgt om zónder verdere tussenkomst van de
    aandeelhouders, eenmaal per jaar een <10% emissie te doen.

    Voor een grotere emissie is doorgaans eerst toestemming van de aandeelhouders nodig.
    Dat kan tijdens de jaarlijkse AVA, of, meer op ad hoc basis, via een speciaal daarvoor
    te houden BAVA (Bijzondere Algemene Vergadering van Aandeelhouders).

    De redenen om geld op te halen zijn divers. Maar wanneer Onward in de driver's seat wil
    blijven zitten om met enige voortvarendheid hun pijp verder te ontwikkelen, zal er hoe dan
    ook geld bij moeten. Ze kunnen in dit stadium hun R&D niét grotendeels afhankelijk maken
    van wat er in kas zit en er eventueel nog binnenkomt.
    Je kunt, zo mogelijk, wel partneren; maar bij een sterkere cash-positie kun je betere deals
    uitonderhandelen. Hoe meer de partner moet inbrengen, des te groter zal aan 't eind van
    de rit, zijn deel van de koek zijn.

    Daarnaast kun je ook aandelen uitgeven omdat 'n grotere partij 'n groter belang wil nemen,
    maar dat niet via de beurs wenst te doen.

    Maar onze Dave wil wel 'n héél grote mandaatbroek aantrekken met die 50%. De koers van
    de aandelen heeft de grootst mogelijke moeite om op 85% van de laatste emissie te blijven
    hangen. Aan de inkoopkant schittert het hele bestuur door afwezigheid.
    Zijn "misschien", "zou kunnen" en "mañana, mañana of tóch maar over-mañana", helpen de
    koers ook niet écht vooruit en hij verdient daarmee bij mij, niét het vertrouwen dat nodig is
    om hem zo'n uitgebreide bevoegdheid te geven.

    De AVA is op 11 Juni, hij heeft nog 'n tijdje om te leveren; maar ik denk tóch dat ik hoe dan
    ook (via m'n bank) tégen die 50% ga stemmen.

    Je bent wel een beetje kort door de bocht vind ik ondanks je lange verhaal. Delegatie van uitgiftebevoegdheid biedt snelheid, flexibiliteit en strategische wendbaarheid.

    Ook komt het bedrijf nu in een situatie waarbij werknemers aandelen zouden kunnen krijgenuit loyaliteit dan wel Milestone etc.

    Kortom, zoek er niet teveel achter, dit zijn gewoon hamerstukken.

    Dank hr. Wiebes voor uw uitgebreide toelichting. Ik denk dat we beide dezelfde gezonde achterdocht hebben allren kan de één dat wat beter verwoorden dan de ander. Ik denk ook dat de koers van uitgifte veelzeggend zal zijn.

    Let wel: Er wordt gevraagd om mandaat. Óf daarvan gebruik gaat worden gemaakt is 'n
    tweede. Er moet reden én vraag zijn. Eventuele goedkeuring voor EX-thuisgebruik kan zo'n
    moment creëren.

    Maar ik blijf erbij dat 50% té happig is. Wanneer dat kas-matig noodzakelijk zou worden zijn
    we sowieso de pineut en wanneer 'n partij 50% zou willen hebben moet ze maar even een
    BAVA afwachten. Of de boel helemaal van de beurs afhalen.

    Op dit moment is het betrekkelijk kleine aantal uitstaande aandelen van 44,6 MLN wat mij
    betreft een mooi onderdeel van de investmentcase. Ik had dus graag gehad dat dat aantal
    zo lang mogelijk, zo klein mogelijk blijft. En wanneer daar 50% bij zou komen had ik daar
    graag vooraf, uitgebreid tekst en uitleg bij gehad.

    Ik verwacht op niet al te lange termijn een overname. Dit in verband met het feit dat de koers al enige tijd lager gezet wordt. Hiervoor kan ik in dit geval geen andere reden bedenken dan
    een overname.
